• Confidential information excludes publicly available information or information independently developed.

7. Intellectual Property

• We retain all rights, title, and interest in our methodologies, templates, software, and materials.

• You receive a non-exclusive, non-transferable license to use deliverables solely for internal business purposes.

8. Warranties & Disclaimers

• We warrant that Services will be performed professionally and in accordance with industry standards.

• Except as stated above, we disclaim all other warranties, express or implied, including merchantability and fitness for a particular purpose.

9. Limitation of Liability

• To the maximum extent permitted by law, our liability for any claim arising under these Terms is limited to the fees you paid for the Services in the twelve months preceding the claim.

• We are not liable for indirect, incidental, or consequential damages.

10. Indemnification

You agree to indemnify and hold us harmless against any third-party claims arising from your use of the Site or Services, your breach of these Terms, or your violation of applicable laws.

11. Termination

• Either party may terminate Services with 30 days’ written notice.

• Upon termination, you pay for all Services performed and expenses incurred through the termination date.

12. Governing Law & Dispute Resolution

• These Terms are governed by Virginia law without regard to conflict-of-law principles.

• Any dispute shall be resolved in state or federal courts in Rockingham County, VA.

13. Changes to Terms

We may update these Terms; changes take effect upon posting. Your continued use indicates acceptance of the updated Terms.
